§ 1 Scope and Contracting Parties
These Terms and Conditions of MEYER EDV GmbH, Gerberhof 3, 31535 Neustadt am Rübenberge, Germany (hereinafter "Provider") apply to all contracts concluded via the online shop at www.meyer-edv.com/shop between the Provider and the buyer.
Buyers must exclusively be entrepreneurs within the meaning of § 14 BGB (German Civil Code), i.e. natural or legal persons or partnerships with legal capacity acting in the exercise of their commercial or independent professional activity. Purchases by consumers (§ 13 BGB) are excluded.
Payment processing is handled by Polar (Polar Software Inc., USA), acting as Merchant of Record. Polar is the contracting party for the payment process and issues the invoice.
§ 2 No Right of Withdrawal – B2B
As this shop is exclusively for entrepreneurs, no statutory right of withdrawal applies under §§ 312g, 355 ff. BGB. Consumer withdrawal rights only apply to consumers under § 13 BGB.
For digital products and software downloads delivered immediately after conclusion of the contract, any potential right of withdrawal ceases upon commencement of performance with the buyer's express consent.
For email and cloud subscriptions: cancellation is possible at any time to the end of the current billing period (see § 3). No refunds are issued for periods already paid.
§ 3 Subscriptions and Cancellation
Subscriptions are billed on a monthly basis and renew automatically unless cancelled in time.
Cancellation: Monthly subscriptions can be cancelled at any time with 7 days' notice to the end of the month via the Polar customer portal or by email to info@meyer-edv.com. The subscription remains active until the end of the paid period.
No refund of partial monthly fees is due upon early cancellation.
§ 4 Prices, Taxes and Payment
All displayed prices are gross prices including statutory VAT (19 %), unless otherwise stated.
Payment is processed via Polar, acting as Merchant of Record, which issues a proper VAT invoice. EU businesses with a valid VAT ID may benefit from the reverse-charge mechanism.
§ 5 Applicable Law and Jurisdiction
German law applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
The exclusive place of jurisdiction for all disputes is Neustadt am Rübenberge, Germany, provided the buyer is a registered merchant.
